Atlassian (NASDAQ: TEAM) today announced the closing of its initial
public offering of 25,300,000 Class A ordinary shares at a price to the
public of $21 per share, including 3,300,000 Class A ordinary shares
sold by certain selling shareholders upon the exercise in full by the
underwriters of their option to purchase additional Class A ordinary
shares. The net proceeds of the offering to Atlassian from its sale of
22,000,000 Class A ordinary shares were approximately $431.8 million,
after deducting underwriting discounts and commissions and estimated
offering expenses. Atlassian did not receive any proceeds from the sale
of Class A ordinary shares by the selling shareholders.
Goldman, Sachs & Co. and Morgan Stanley & Co. LLC acted as lead joint
book-running managers for the offering. Allen & Company LLC, UBS
Securities LLC and Jefferies LLC acted as additional book-running
managers for the offering, and Canaccord Genuity Inc., JMP Securities
LLC, Raymond James & Associates, Inc. and William Blair & Company,
L.L.C. acted as co-managers.
